Welcome to BatchBot. By accessing or using our service, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account or using BatchBot, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

2. Description of Service

BatchBot is a software-as-a-service (SaaS) platform that enables users to generate AI-powered product videos and batch-combine video content for TikTok and other social media platforms. The service includes AI video generation powered by third-party providers, video editing and combining tools, and cloud-based file storage.

3. Account Registration

To use BatchBot, you must create an account with a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account.

4. Subscriptions and Payments

BatchBot offers subscription plans and one-time credit purchases. By subscribing to a paid plan, you agree to the following:

• Subscriptions are billed monthly through Stripe, our payment processor
• Your subscription will automatically renew each billing period unless cancelled
• You may cancel your subscription at any time through the billing management portal
• Unused subscription credits roll over to the next month, up to the plan's rollover cap
• Refill credit purchases are one-time and non-refundable once credits have been used
• We reserve the right to change pricing with 30 days notice to active subscribers

5. Free Trial

New users receive a free trial with 300 credits, valid for 7 days. No credit card is required for the trial. Trial credits expire after the trial period and cannot be recovered.

6. Credits and Usage

Credits are consumed when generating AI video footage. Credit costs vary based on video duration. Credits are non-transferable between accounts. If AI generation fails, times out, or encounters an error, credits are automatically refunded to your account. Batch video combining (merging background and product videos) does not consume credits.

7. Content Ownership and License

• Your Content: You retain ownership of all content you upload to BatchBot, including product images, videos, and text overlays.
• AI-Generated Content: Videos generated through the AI service are subject to the terms and usage policies of the underlying AI provider (OpenAI). You are responsible for reviewing and complying with those terms.
• License to Us: By uploading content, you grant BatchBot a limited license to process, store, and transmit your content solely for the purpose of providing the service to you.
• Output Videos: You own the final combined/batch videos generated through the platform and may use them for commercial purposes, subject to applicable laws.

8. Acceptable Use

You agree not to use BatchBot to:

• Upload or generate content that is illegal, harmful, threatening, abusive, or violates the rights of others
• Generate content that infringes on intellectual property rights
• Attempt to reverse engineer, decompile, or hack the service
• Use the service to send spam or misleading content
• Share your account credentials with others or create multiple accounts to abuse free trials
• Use automated tools to access the service in a way that exceeds reasonable use

We reserve the right to suspend or terminate accounts that violate these terms.

9. Third-Party Services

BatchBot integrates with third-party services to provide its functionality:

• OpenAI (Sora): For AI video generation. Your prompts and product images are sent to OpenAI's API. Usage is subject to OpenAI's terms and content policies.
• Stripe: For payment processing. Your payment information is handled directly by Stripe and is not stored on our servers.

We are not responsible for the availability, accuracy, or policies of third-party services.

10. Data Storage and Retention

Uploaded product images and clips are stored in cloud storage for as long as your account is active. AI-generated footage is available for review and download after generation. Batch-combined output videos are temporary and are cleaned up after download. We may delete data from inactive accounts after 12 months of inactivity.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. BatchBot may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service downtime.

12. TikTok Shop Compliance Disclaimer

BatchBot is a video creation tool. BatchBot is not responsible for any TikTok Shop policy violations, content removals, account suspensions, or account bans that may result from videos created using our service.

You are solely responsible for ensuring that all content you create and publish complies with TikTok Shop's policies, community guidelines, and applicable laws. This includes but is not limited to:

• Ensuring promoted products are clearly and accurately displayed in your videos
• Matching video content to the correct product listings on your TikTok Shop landing page
• Avoiding misleading claims, prohibited products, or deceptive practices
• Complying with TikTok's requirements for product promotion content (e.g., avoiding still-frame product displays)
• Reviewing all AI-generated footage before publishing to ensure it meets platform standards

TikTok Shop's automated moderation systems may flag videos for violations, including false positives. BatchBot does not guarantee that generated content will pass TikTok's review processes. We recommend reviewing TikTok Shop's Seller Center policies regularly and familiarizing yourself with their appeals process.

13. Limitation of Liability

To the maximum extent permitted by law, BatchBot and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service. This includes, without limitation, any losses resulting from TikTok Shop policy violations, content removals, or account actions taken by TikTok or any other platform. Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

14. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that AI-generated content will meet your specific requirements, be free from errors, or be suitable for any particular purpose.

15. Termination

You may terminate your account at any time by cancelling your subscription and contacting us. We may terminate or suspend your account if you violate these terms. Upon termination, your right to use the service ceases immediately, and we may delete your stored content after a reasonable period.

16. Changes to Terms

We may update these Terms of Service from time to time. We will notify users of material changes via email or through the service. Continued use of BatchBot after changes take effect constitutes acceptance of the updated terms.
